1. Introduction

These Terms of Use & Services govern your access to and use of nevinda.com, Nevinda marketplace functions, digital services, business solutions, sourcing, procurement, warehousing, fulfilment, logistics and related services.

By accessing the website, opening an account, placing an order, requesting a quotation or using a Nevinda service, you agree to the terms applicable to that activity.

Nothing in these Terms limits mandatory rights that cannot legally be excluded.

3. Contracting Entity

The Nevinda entity responsible for a particular transaction will be identified where applicable through the relevant checkout, quotation, invoice, order confirmation, purchase order, service agreement or other transaction documentation.

The existence of an affiliate in a particular jurisdiction does not automatically make that entity responsible for transactions entered into by another Nevinda entity.

4. Tax Responsibility by Entity

Each Nevinda entity is responsible for its own tax registration, reporting and payment obligations within the jurisdiction in which it operates.

NEVINDA GLOBAL LOGISTICS is responsible for applicable tax obligations relating to its own Netherlands operations and transactions.

Guangzhou Nevinda Logistics Co., Ltd. is responsible for applicable tax obligations relating to its own operations and transactions in China.

ETS Nevinda Global Logistics is responsible for applicable tax obligations relating to its own operations and transactions in Cameroon.

A tax registration held by one Nevinda entity does not make that entity responsible for the tax liabilities of another Nevinda entity.

5. Customs, Duties and Import Taxes

Cross-border transactions may be subject to customs duties, import VAT, taxes, clearance fees, brokerage charges, inspection fees or other border-related costs.

Responsibility for these charges depends on the applicable transaction, destination, delivery terms, Incoterms and relevant law.

6. Consumers and Business Customers

Nevinda serves both consumers and commercial customers.

Mandatory consumer rights remain unaffected where applicable.

B2B transactions may be governed by quotations, purchase orders and service agreements. Consumer-specific cooling-off rights do not automatically apply to business transactions.

7. Website Use

You must not use Nevinda to:

  • Conduct unlawful or fraudulent activities
  • Provide false or misleading information
  • Gain unauthorised access to systems
  • Introduce malicious software
  • Infringe intellectual-property rights
  • Misuse customer, supplier or seller information
  • Facilitate unlawful transactions

8. Marketplace

Products available through Nevinda may be sold directly by a Nevinda entity or by an independent marketplace seller.

Where a third-party seller is the contractual seller, the seller's identity will be communicated as required by applicable law.

9. Marketplace Sellers

Marketplace sellers are responsible for their listings, product legality, safety, pricing, stock, order fulfilment, customer service, consumer rights and intellectual property obligations.

Additional requirements are governed by the Seller Terms.

10. Pricing and Payment

Applicable prices and unavoidable charges will be communicated before a consumer is bound by an order where required by law.

B2B sourcing, procurement and logistics services may be priced through individual quotations.

11. Delivery

Delivery estimates may be affected by product availability, carriers, customs, weather, port congestion, government action and other circumstances.

Estimated delivery dates are not guaranteed unless expressly confirmed as guaranteed.

12. Consumer Withdrawal

Eligible consumers purchasing goods or services online may have a statutory right to withdraw from the contract.

For eligible EU distance purchases, the withdrawal period is generally 14 days, subject to applicable legal exceptions.

Please see our Returns & Refunds Policy.

13. Multi-Origin Sourcing

16. Customs and Regulatory Compliance

Customers must provide accurate information concerning goods.

Unless Nevinda expressly accepts responsibility for a specific compliance service in writing, customers remain responsible for confirming that their products meet applicable requirements in the intended market.

17. Intellectual Property

Nevinda trademarks, logos, website content, software and proprietary materials are protected by applicable intellectual-property law.

18. Third-Party Providers

Nevinda may work with independent suppliers, manufacturers, carriers, warehouses, payment providers, customs brokers and technology providers.

Those parties may operate under their own terms.

19. Limitation of Liability

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

Mandatory consumer protections remain unaffected.

B2B agreements may contain transaction-specific liability limitations.

20. Events Outside Reasonable Control

Nevinda will not be responsible, to the extent permitted by law, for delays caused by events outside its reasonable control, including major transportation disruption, government action, customs disruption, extreme weather, war, strikes or major infrastructure failures.

21. Privacy and Cookies

Personal information is processed according to the Privacy Policy.

Cookies and similar technologies are governed by the Cookie Policy.

22. Governing Law

The governing law applicable to a transaction depends on the contracting Nevinda entity and any transaction-specific agreement.

A choice of law does not remove mandatory consumer protections that cannot legally be waived.
