2. Contracting Entity
The Nevinda entity responsible for a particular business or logistics transaction will be identified in the applicable quotation, invoice, purchase order, service agreement or other commercial documentation.
The existence of Nevinda affiliates in other jurisdictions does not automatically make those entities parties to the transaction.
Unless expressly agreed otherwise, one Nevinda entity does not assume another Nevinda entity's contractual, financial, regulatory or tax obligations.
3. Tax Responsibility by Entity
Each Nevinda entity is responsible for its own tax registration, reporting and payment obligations within its applicable jurisdiction.
NEVINDA GLOBAL LOGISTICS is responsible for tax obligations arising from its own Netherlands operations and transactions.
Guangzhou Nevinda Logistics Co., Ltd. is responsible for tax obligations arising from its own China operations and transactions.
ETS Nevinda Global Logistics is responsible for tax obligations arising from its own Cameroon operations and transactions.
A VAT, tax or business registration belonging to one Nevinda entity does not make that entity responsible for another entity's tax obligations.
Applicable taxes will depend on matters such as the contracting entity, nature of the service, place of supply, customer location, origin and destination of goods and applicable local law.
4. Scope of Services
Nevinda may provide or coordinate business and logistics services including:
- Local and international sourcing
- Supplier identification
- Procurement support
- Product-development coordination
- Private-label, OEM and ODM coordination
- Air freight

Not every service is available in every country, market or trade route.
5. Quotations
Nevinda may provide quotations for sourcing, procurement, logistics or other business services.
Unless otherwise stated, quotations are based on information provided by the customer and conditions reasonably known at the time.
A quotation may specify:
- Service scope
- Pricing
- Currency
- Taxes
- Validity period
- Estimated timelines
- Payment terms
- Delivery terms
- Assumptions or exclusions
Quotations may expire after the validity period stated.
6. Acceptance of Services
A business transaction may become binding when the customer accepts a quotation, issues a purchase order, signs an agreement, makes a required payment or otherwise confirms the service in accordance with the applicable documentation.
7. Customer Information
Customers must provide complete and accurate information necessary for Nevinda to perform the requested service.
This may include:
- Product description
- Quantity
- Dimensions and weight
- Value
- Country of origin
- Destination
- HS code where known
- Regulatory information
- Dangerous-goods information where relevant
- Import or export documentation
Nevinda may rely on information supplied by the customer when arranging services.
8. Multi-Origin Sourcing
Nevinda supports local and international sourcing and is not limited to a single sourcing country.
Sourcing opportunities may originate in:
Europe • Asia • Africa • Other Suitable Markets
The sourcing region selected will depend on the product, supplier, pricing, specifications, compliance requirements and destination.
9. Sourcing Services
Depending on the agreed scope, Nevinda may assist with:
- Supplier identification
- Manufacturer identification
- Supplier communication
- Quotation coordination
- Product specifications
- Samples
- Packaging requirements
- Private-label opportunities
- OEM or ODM coordination
- Pre-shipment coordination
The precise sourcing responsibilities accepted by Nevinda will be defined in the relevant quotation or agreement.
10. Independent Suppliers and Manufacturers
Suppliers, producers and manufacturers identified or used in a sourcing project may be independent businesses.
Unless expressly agreed otherwise, Nevinda does not guarantee:
- Future supplier availability
- Future pricing
- Production capacity
- Production schedules
- Supplier solvency
- Continuous product availability
11. Samples and Approvals
Where products involve samples, specifications, prototypes, packaging or customised requirements, customers may be required to approve them before production.
The customer is responsible for carefully reviewing approvals.
Changes requested after approval may result in additional costs, delays or changes to minimum-order quantities.
12. Procurement Services
Nevinda may coordinate procurement activities including quotations, pricing discussions, supplier communication, purchase coordination and supplier follow-up.
Nevinda's exact procurement role depends on the agreed service scope.
13. Freight and Transportation
Nevinda may arrange or coordinate transportation through independent carriers, freight forwarders or other logistics providers.
Services may include air freight, sea freight, road transport or multimodal transportation.
Carrier-specific conditions may also apply.
14. Freight Rates
Freight rates may change because of:
- Carrier pricing
- Fuel surcharges
- Peak-season charges
- Capacity
- Route changes
- Port charges
- Security charges
- Currency movements
- Government measures
A quoted rate may therefore be valid only for the period stated in the quotation.
15. Transit Times
Transit and delivery times are estimates unless expressly confirmed as guaranteed.
Delays may occur because of:
- Carrier operations
- Customs clearance
- Inspections
- Port congestion
- Weather
- Capacity constraints
- Government action
- Other circumstances outside reasonable control
16. Incoterms
Where Incoterms are used, the applicable Incoterm and named place should be stated in the commercial documentation.
The agreed Incoterm may determine responsibility for freight, risk, insurance, export formalities, import formalities, customs duties and other costs.
17. Customs and Import Requirements
International shipments may require customs declarations, licences, permits, product registrations, certificates or other documentation.
Unless expressly agreed otherwise, customers remain responsible for ensuring their goods may legally be imported, exported and sold in the relevant market.
18. Customs Duties and Import Taxes
Duties, import VAT, customs charges, brokerage fees and similar costs will be allocated according to the applicable agreement, Incoterm and law.
Nevinda's involvement in customs coordination does not automatically mean Nevinda is responsible for all customs duties or import taxes.
19. Importer of Record and Exporter of Record
Nevinda will act as importer of record or exporter of record only where this responsibility has been expressly accepted in writing and the necessary legal and operational conditions are satisfied.
The presence of a Nevinda entity in a jurisdiction does not by itself make that entity importer or exporter of record.
20. HS Codes and Product Classification
Nevinda may provide or coordinate general product-classification information.
Customs authorities remain responsible for official classification.
General HS-code guidance provided by Nevinda does not constitute a binding customs ruling.
21. Restricted and Dangerous Goods
Customers must disclose where goods are dangerous, regulated, restricted or require special handling.
Nevinda may refuse goods that cannot lawfully or safely be handled or transported.
22. Warehousing
Warehousing services may include receiving, storage, inventory handling and related activities.
Specific storage conditions, rates and service levels may be stated in a separate quotation or warehouse agreement.
23. Fulfilment
Fulfilment services may include:
- Receiving inventory
- Storage
- Pick and pack
- Labelling
- Order preparation
- Dispatch
- Returns handling
Service scope depends on the location and applicable agreement.
24. Inventory Accuracy
Nevinda will use reasonable operational measures to maintain inventory records where inventory-management services are provided.
Customers should promptly report material discrepancies.
25. Packaging
Customers are responsible for ensuring goods are appropriately packaged unless packaging is expressly included in the Nevinda service.
Additional packaging or repacking required for safe transport may result in additional charges.
26. Insurance
Cargo, storage or transport insurance is not automatically included unless expressly stated.
Customers should confirm whether insurance is included or whether separate coverage should be arranged.
27. Risk and Title
Risk in goods and transfer of ownership depend on the commercial transaction, applicable sales agreement and agreed Incoterm.
Nothing in these Terms independently changes title or risk allocation specified in another binding agreement.
28. Payment Terms
Payment requirements will be stated in the applicable quotation, invoice or agreement.
Nevinda may require:
- Advance payment
- Deposit
- Payment before shipment
- Credit terms for approved business customers
- Other agreed payment arrangements
29. Late Payment
Where permitted by law and agreement, overdue B2B invoices may be subject to interest, collection costs or suspension of services.
30. Additional Charges
Additional charges may arise where circumstances differ from the information used to prepare the original quotation.
Examples include:
- Incorrect weight or dimensions
- Storage beyond agreed periods
- Customs inspections
- Demurrage or detention
- Re-delivery
- Additional handling
- Address changes
- Special packaging
31. Cancellation
Cancellation rights depend on the particular service and stage of performance.
Where Nevinda or a third-party provider has already incurred costs, those costs may remain payable.
Custom sourcing, procurement, freight, warehousing and fulfilment services are not automatically subject to consumer change-of-mind rights.
32. Claims for Loss or Damage
Customers should report apparent loss or damage as soon as reasonably possible.
Specific notice periods may apply under carrier conditions, transport conventions or the applicable service agreement.
Customers must provide reasonable supporting evidence for a claim.
33. Third-Party Providers
Nevinda may use independent:
- Carriers
- Freight forwarders
- Warehouses
- Customs brokers
- Inspection providers
- Manufacturers
- Suppliers
- Other service providers
Those providers may operate under their own applicable terms.
34. Sanctions and Trade Compliance
Customers must not use Nevinda services in violation of applicable trade sanctions, export controls or other trade restrictions.
Nevinda may suspend or refuse a transaction where compliance concerns arise.
35. Intellectual Property
Customers are responsible for ensuring that products, branding, designs and instructions supplied for sourcing or production do not infringe third-party rights.
36. Confidentiality
Where business projects involve confidential commercial information, the parties should use that information only for legitimate purposes connected with the relevant business relationship, subject to any separate confidentiality agreement.
37. Data Protection
Personal information processed in connection with business and logistics services will be handled according to applicable data-protection law and Nevinda's Privacy Policy.
38. Limitation of Liability
Nothing in these Terms limits liability that cannot legally be excluded.
For B2B services, additional liability limitations may be stated in the applicable quotation, service agreement, carrier conditions or other contract.
Nevinda is not liable for losses caused solely by inaccurate information provided by the customer or by circumstances for which Nevinda has not accepted responsibility.
39. Force Majeure and Events Outside Reasonable Control
Nevinda will not be responsible, to the extent permitted by law, for delay or failure caused by events outside its reasonable control.
Such events may include:
- Natural disasters
- Severe weather
- War or civil disturbance
- Government restrictions
- Trade sanctions
- Customs disruption
- Port congestion
- Carrier disruption
- Strikes
- Major infrastructure failures
- Major telecommunications or technology failures
40. Suspension of Services
Nevinda may suspend services where reasonably necessary because of non-payment, safety concerns, legal restrictions, sanctions, incorrect information or serious contractual breach.
41. Governing Law
The governing law applicable to a business or logistics transaction depends on the Nevinda contracting entity and transaction-specific agreement.
Where NEVINDA GLOBAL LOGISTICS in the Netherlands is the contracting entity, Dutch law may apply as specified in the applicable agreement.
Where Guangzhou Nevinda Logistics Co., Ltd. or ETS Nevinda Global Logistics is the contracting entity, the relevant agreement may specify the governing law applicable to that transaction.
42. Dispute Resolution
The competent court, arbitration process or other dispute-resolution mechanism may be specified in the applicable B2B agreement.
Where practical, the parties are encouraged to first attempt to resolve commercial disputes through direct communication.
43. Order of Precedence
If documents conflict, transaction-specific written terms such as a signed service agreement, accepted quotation or agreed purchase order may take precedence over these general Business & Logistics Terms for that transaction.
44. Changes to These Terms
Nevinda may update these Business & Logistics Terms as services, markets, laws or operational requirements evolve.
The latest version will be published on nevinda.com.
